Terms of Service

These Terms of Service ("Terms") govern your access to and use of BirLink (the "Platform"), operated by BirLink Inc. By registering, logging in (including via Google Sign-In), or otherwise using the Platform, you agree to these Terms. If you do not agree, please do not use the Platform.

1. Definitions

  • "User," "you," or "your": anyone using the Platform.
  • "Content": text, images, videos, links, messages, profile information, events, job postings, restaurant listings, spaces posts, and other materials you submit to the Platform.
  • "Google Sign-In": authentication via your Google account using OAuth 2.0.

2. Eligibility

You must be at least 16 years old to use BirLink. If you're under 16, please do not register or provide any personal information.

3. Account Registration

  • Standard Sign-Up: You provide your name, email, date of birth, phone number, password, and username.
  • Google Sign-In: If you choose "Continue with Google," we obtain your Google profile information (name, email address, profile picture) solely to create and authenticate your BirLink account. You may revoke access via your Google account settings.

You agree to:

  1. Provide accurate, current, and complete information.
  2. Keep your password and Google credentials secure.
  3. Notify us immediately of any unauthorized use of your account.

4. Profile & Content

  • All user profiles are public by default, displaying your public information (name, bio, location, skills, badges, etc.).
  • You retain ownership of the Content you post but grant BirLink a worldwide, perpetual, royalty-free license to use, display, and distribute it on the Platform.
  • You are responsible for all Content you upload or post and represent that you have all necessary rights.

5. Prohibited Conduct

You must not:

  • Violate any laws or third-party rights.
  • Post illegal, defamatory, harassing, or obscene Content.
  • Impersonate others or create multiple accounts.
  • Use the Platform for unsolicited advertising or spam.
  • Interfere with the operation or security of the Platform.

6. Events, Jobs, Restaurants & Spaces

When you create events, job postings, restaurant listings, or community "Spaces," you agree to comply with all applicable rules (e.g., ticket pricing, tax settings, refund policies) described in our help documentation. BirLink reserves the right to remove or modify any listing that violates these Terms or our community guidelines.

7. Fees & Payments

  • BirLink charges service fees (e.g., event ticket fees, paid Spaces subscriptions). You authorize us (and our payment processors) to charge your chosen payment method.
  • If you absorb fees or taxes, those amounts are deducted from your revenue. Refund policies must be configured correctly in the event wizard.

8. Third-Party Integrations

  • Google Maps API for venue autocomplete.
  • Stripe (or similar) for payment processing.
  • Zoom API for online events.

You acknowledge that we're not responsible for third-party services' availability or policies.

9. Termination

We may suspend or terminate accounts for violations of these Terms or inactivity. You may delete your account at any time, but certain Content (e.g., messages you've sent to others) may remain on the Platform.

10. Disclaimers

  • The Platform is provided "as-is" and "as available." We make no warranties of any kind.
  • BirLink is not responsible for the conduct of users or the accuracy of user-generated Content.

11. Limitation of Liability

To the fullest extent permitted by law, BirLink's total liability arising out of or relating to these Terms will not exceed the total fees paid by you in the 12 months prior to any claim.

12. Indemnification

You agree to indemnify and hold BirLink and its officers, directors, and employees harmless from any claim arising out of your breach of these Terms or your conduct on the Platform.

13. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada.

14. Changes to Terms

We may modify these Terms at any time. If changes are material, we'll notify you via email or in-app notification. Continued use after changes constitutes acceptance.
